END-USER LICENSE AGREEMENT

LEGAL NOTICES: BY CLICKING ON THE "I AGREE" BUTTON ON ANY PAGE THAT THIS AGREEMENT IS REFERENCED DIRECTLY OR INDIRECTLY, YOU ARE CONSENTING TO BE BOUND BY AND ARE BECOMING A PARTY TO THIS AGREEMENT.  IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, CLICK THE "CANCEL" BUTTON AND DO NOT PROCEED WITH DOWNLOADING ANY PRODUCTS (AS DEFINED HEREIN) FROM THE MOTOROLA SOLUTIONS CATALOG. THE FOLLOWING AGREEMENT IS A LEGAL AGREEMENT BETWEEN YOU (EITHER AN INDIVIDUAL OR ENTITY), AND MOTOROLA, INC. (FOR ITSELF AND ITS LICENSORS).  THE RIGHT TO USE THIS SERVICE IS LICENSED ONLY ON THE CONDITION THAT YOU AGREE TO THE FOLLOWING TERMS.

Motorola Inc. provides a collection of online resources at the Motorola Solutions Catalog Website (referred to hereafter as "Motorola Solutions Catalog Website "), which use of the Motorola Solutions Catalog Website is subject to the following conditions hereunder. By using the Motorola Solutions Catalog Website in any way, you are agreeing to comply with the Agreement stated herein. In addition, when using the Motorola Solutions Catalog Website, you agree to abide by any applicable posted guidelines, which may change from time to time.  Should you object to any term or condition hereunder, any guidelines, or any subsequent modifications thereto or become dissatisfied with Motorola in any way, your only recourse is to immediately discontinue use of the Motorola Solutions Catalog Website.
Definition of the Motorola Solutions Catalog. Motorola Inc. is the provider of the Motorola Solutions Catalog  Website that permits you, as the consumer end-user (“Consumer End-user”) of a particular hardware, software, accessories and/or services (“Products”), that has been uploaded and posted onto the Motorola Solutions Catalog Website by a developer of such Products under certain terms and conditions as set forth in this Agreement. 
You understand that all Products posted on, transmitted through, or linked from the Motorola Solutions Catalog Website, are the sole responsibility of the person from whom such Products originated (i.e., the Developer). You understand that Motorola does not control, and is not responsible for the Products made available through the Motorola Solutions Catalog Website, and that by using the Motorola Solutions Catalog Website, you may be exposed to Products that are offensive, indecent, inaccurate, misleading, or otherwise objectionable or may potentially harm your computer or device, causing irrecoverable malfunction. Furthermore, the Motorola Solutions Catalog Website and Products available through the Motorola Solutions Catalog Website may contain links to other websites, which are completely independent of Motorola.  Motorola makes no representation or warranty as to the accuracy, completeness or authenticity of the information contained in any such site.  Your pursuing links to any other websites is at your own risk. You agree that you must evaluate, and bear all risks associated with, the use of any Product, that you may not rely on said Product, and that under no circumstances will Motorola be liable in any way for any Product or for any loss or damage of any kind incurred as a result of the use of any Product posted, emailed or otherwise made available via the Motorola Solutions Catalog Website. You acknowledge that Motorola does pre-screen and approve Products, but that Motorola shall have the right (but not the obligation) in its sole discretion to refuse, delete or move any Product that is available via the Motorola Solutions Catalog Website, for violating the letter or spirit of this Agreement or for any other reason.
The Motorola Solutions Catalog Website and Products available through the Motorola Solutions Catalog Website may contain features and functionalities that may link you or provide you with access to third party products which is completely independent of Motorola, including web sites, directories, servers, networks, systems, information and databases, applications, software, programs, products or services, and the Internet as a whole.  
Your interactions with any Developer found on or through the Motorola Solutions Catalog Website, including payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such Developer.  You should make whatever investigation you feel necessary or appropriate before proceeding with any online or offline transaction with any Developers who have posted onto the Motorola Solutions Catalog Website.  
You agree that Motorola shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings. If there is a dispute between participants on this Motorola Solutions Catalog Website, or between you and any Developer, you understand and agree that Motorola is under no obligation to become involved. In the event that you have a dispute with one or more Developers, you hereby release Motorola, its officers, employees, agents and successors in rights from claims, demands and damages (actual and consequential) of every kind or nature, known or unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such disputes and/or our Motorola Solutions Catalog Website. 
Age requirements for purchase of any Product provided on the Motorola Solutions Catalog Website.  The use of the Motorola Solutions Catalog Website is available for individuals of all ages. However,  in the event Motorola offers the ability to purchase Products directly from the Motorola Solutions Catalog Website, then to purchase  from Motorola you must be  18 years or older. If you are under the age of 18, you should review these terms and conditions with your parent or guardian to make sure that you and your parent or guardian understand these terms and conditions. 
Policies and Rules. Your use of the Motorola Solutions Catalog Website and transactions made through it are subject to Developer’s Terms of Sale, if any, which can be readily viewed on the Motorola Solutions Catalog Website. The Motorola Solutions Catalog will identify whether any Product is freeware, shareware, subscription based or on a free trial basis. If you have not already read Developer’s Terms of Sale, if any, you should do so now. Your purchase of any Product through a Developer  is subject to any Consumer End-user agreements or other terms and conditions required for use of such Product, all of which are hereby made a part of this Agreement.
Technical Support.  Motorola has no obligation to furnish you with technical support unless separately agreed in writing between you and Motorola.

Termination.  This License is effective until terminated.  This License will terminate immediately without notice from Motorola or judicial resolution if you fail to comply with any provision of this License.  Upon such termination you must destroy the Product, all accompanying written materials and all copies thereof, and the sections entitled Limited Warranty, Limitation of Remedies and Damages, and General will survive any termination.

NO WARRANTY.  MOTOROLA AND ITS LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT.  MOTOROLA DOES NOT WARRANT THAT THE OPERATION OF THE Motorola Solutions Catalog Website WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS IN THE Motorola Solutions Catalog Website WILL BE CORRECTED.  NO ORAL OR WRITTEN REPRESENTATIONS MADE BY MOTOROLA OR AN AGENT THEREOF SHALL CREATE A WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF THIS SECTION. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Limitation of Remedies and Damages.  Regardless of whether any remedy set forth herein fails of its essential purpose, IN NO EVENT SHALL MOTOROLA OR ANY OF THE LICENSORS, DIRECTORS, OFFICERS, EMPLOYEES OR AFFILIATES OF THE FOREGOING BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL OR SIMILAR DAMAGES WHATSOEVER (including, without limitation, damages for loss of business profits, business interruption, loss of business information and the like), whether foreseeable or unforeseeable, arising out of the use or inability to use the Motorola Solutions Catalog Website or any software application purchased by Developer or any accompanying written materials from Developer, regardless of the basis of the claim and even if Motorola or a Motorola representative has been advised of the possibility of such damage.  THIS LIMITATION WILL NOT APPLY IN CASE OF PERSONAL INJURY ONLY WHERE AND TO THE EXTENT THAT APPLICABLE LAW REQUIRES SUCH LIABILITY.  BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

U.S. Government Users.  If you are a U.S. Government user, then the Software is provided with "RESTRICTED RIGHTS" as set forth in subparagraphs (c)(1) and (2) of the Commercial Computer Software-Restricted Rights clause at FAR 52 227-19 or subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Software clause at DFARS 252.227-7013, as applicable.

Translations.  The English version of this Agreement is the controlling version. Any translations are provided for convenience only.

General. The laws of the United States of America govern this Agreement.  The terms of this license are supplemental to any written agreement executed by the parties regarding this subject and supersedes all previous oral or written communications between us regarding the subject except for such executed agreement. It may not be modified or waived except in writing and signed by an officer or other authorized representative of each party. If any provision is held invalid, all other provisions shall remain valid, unless such invalidity would frustrate the purpose of our agreement. The failure of either party to enforce any rights granted hereunder or to take action against the other party in the event of any breach hereunder shall not be deemed a waiver by that party as to subsequent enforcement of rights or subsequent action in the event of future breaches.
